Terminal49 Customer Terms
Last updated: October 22, 2026Version: 1.0
These Terminal49 Customer Terms ("Customer Terms") govern the purchase and use of the Services by any organization ("Customer") that (a) signs an Order Form with Terminal49, Inc., a Delaware corporation ("Terminal49"), that references these Customer Terms, or (b) purchases the Services through a Terminal49 online ordering flow or accepts these Customer Terms in the Terminal49 application. The individual accepting these Customer Terms represents that they are authorized to bind Customer.
Use of the Terminal49 website and free offerings is governed by the Terminal49 Terms of Service at https://www.terminal49.com/terms. For paid Services, if the Terms of Service conflict with these Customer Terms, these Customer Terms govern.
These Customer Terms consist of Part 1 (General Terms), which applies to all Customers, and the following Schedules, each of which applies only as stated in that Schedule:
-
Schedule A — Terminal49 Credit Terms: applies to Terminal49 Credits included in or purchased under any Order Form, with certain sections applying only to the Data-Only Plan.
-
Schedule B — API and MCP Terms: applies if Customer accesses the Services through the Terminal49 API or MCP server.
-
Schedule C — AI Features and Agentic Features: applies to Customer's use of AI Features, and to Agentic Features if Customer enables them.
Part 1 — General Terms
1. Definitions
-

-
"Order Form" means an ordering document signed by Customer and Terminal49, or an online ordering page accepted by Customer, that references these Customer Terms.
-
"Renewal Term" has the meaning given in Section 8.
-
"Service Start Date" means the service start date stated on the Order Form.
-
"Services" means the Terminal49 platform, dashboard, API, MCP server, data feeds, add-ons, and related features identified on an Order Form or made available to Customer by Terminal49.
2. Agreement Structure; Order of Precedence
2.1 Incorporated documents. The following are incorporated into the Agreement by reference: the Terminal49 Service Level Agreement at https://terminal49.com/service-level-agreement, as in effect on the Service Start Date of the applicable Order Form; and the Terminal49 Privacy Policy at https://www.terminal49.com/privacy.
2.2 Order of precedence. If there is a conflict among the documents that make up the Agreement, they control in this order: (a) the Data Access Authorization Release Addendum attached to the Order Form, solely with respect to Terminal49's access to Customer data held by Customer's third-party service providers; (b) the Order Form; (c) the applicable Schedule; (d) Part 1 of these Customer Terms; (e) the Service Level Agreement; and (f) the Terms of Service, Privacy Policy, and other Terminal49 policies.
2.3 Purchase orders. Any terms in a Customer purchase order, vendor portal, or similar document do not apply to the Agreement and are void, even if accepted or signed by Terminal49.
3. Access and Use of the Services
3.1 Right to use. Subject to the Agreement and payment of all applicable fees, Terminal49 grants Customer a non-exclusive, non-transferable, non-sublicensable right during the Contract Term to access and use the Services identified on the Order Form for Customer's business purposes, in accordance with the Documentation.
3.2 Restrictions. Customer will not (and will not permit any third party to): (a) reverse engineer or attempt to discover any source code or underlying ideas or algorithms of the Services; (b) provide, lease, lend, disclose, use for timesharing or service bureau purposes, or otherwise make the Services available for the direct benefit of any third party (other than Customer's affiliates), except as authorized by Terminal49; (c) access the Services to build a competitive product or tool with similar functionality; (d) remove or obscure any proprietary notices; or (e) use, transfer, export, or re-export the Services in violation of any export control or sanctions laws. Customer will also comply with the Acceptable Use section of the Terms of Service.
3.3 Accounts. Customer is responsible for all activity under its accounts and for keeping its login credentials and API keys confidential, and will promptly notify Terminal49 of any unauthorized use.
4. Fees and Payment
4.1 Fees. Customer will pay the fees for all items selected on the Order Form. Billing starts on the Service Start Date. Except as expressly stated in the Agreement, fees are non-refundable. Customer's first invoice may include overage billing from the free trial period.
4.2 Invoices. All invoices are due within fourteen (14) days of receipt. Invoices under $5,000 must be paid by credit card and will be auto-charged to Customer's payment method on file for the duration of the Contract Term.
4.3 Payment methods. All payments due under the Agreement must be made by credit card, ACH or wire transfer, or ACH debit to an account designated by Terminal49's payment processing service. Terminal49 does not accept checks, bill.com, or any other form of payment. Customer is responsible for any bank transfer or other payment processing fees.
4.4 Late payment. Overdue amounts accrue a late fee of the lesser of one and one-half percent (1.5%) per month or the maximum amount permitted by law, from the due date until paid. If payment is more than thirty (30) days late, Terminal49 may pause or withhold the Services until payment is received and may refer overdue invoices to collections.
4.5 Taxes. Fees are exclusive of taxes. Customer will pay any applicable sales, use, value added, surtax and personal property taxes, duties, fees, and other governmental assessments or charges arising out of the Agreement, other than taxes based on Terminal49's net income.
4.6 Pricing. Pricing is guaranteed for the initial Contract Term starting from the Service Start Date. Upon renewal for subsequent terms, pricing may change subject to available products.
5. Billing Methodology
5.1 Container counting. For billing purposes, Terminal49 calculates containers tracked in each Billing Term by summing all instances of each container across every Terminal49 account used by Customer. Containers are billed only in the Billing Term in which tracking is initiated.
5.2 Unused containers. Unused containers from one Billing Term are forfeited and do not transfer to the next Billing Term.
6. Overage Billing
6.1 General rule. Overage is any usage above the units included for a Billing Term. Terminal49 calculates overage for each Billing Term and invoices it at the end of that Billing Term at the overage price on the Order Form. For example, if Customer's plan includes 300 containers per quarterly Billing Term, billing starts December 16, and Customer tracks 380 containers between December 16 and March 15, Terminal49 will invoice overage for 80 containers multiplied by the overage price per container on March 16.
6.2 Annual Billing Term. As an exception to Section 6.1, for an annual Billing Term, overage is invoiced on an accrued usage basis each time Customer accumulates $1,000 of overage.
6.3 Data-Only Plan. This Section 6 does not apply to the Data-Only Plan. Usage beyond purchased Terminal49 Credits under that plan is governed exclusively by Schedule A.
7. Customer Data
7.1 Ownership. As between Terminal49 and Customer, Customer retains all right, title, and interest in and to Customer Data.
7.2 License to Terminal49. Customer grants Terminal49 a worldwide, non-exclusive right to host, store, copy, transmit, process, display, and modify Customer Data as necessary to provide the Services to Customer and to operate, monitor and improve the Services.
7.3 Customer responsibilities. Customer represents that it has all rights and permissions necessary to submit Customer Data for processing under the Agreement and remains responsible for its content.
7.4 Data access authorization. Terminal49's access to Customer data held by Customer's carriers, ports, terminals, and other service providers is governed by the Data Access Authorization Release Addendum attached to the Order Form.
7.5 Subprocessors. Customer authorizes Terminal49 to engage subprocessors, including providers of cloud hosting and artificial intelligence services, to process Customer Data on Terminal49's behalf under written confidentiality obligations. A list of Terminal49's current subprocessors is available on request.
7.6 Retention. Terminal49 retains Customer Data, including uploaded documents, for five (5) years from collection, after which it is deleted or de-identified unless a longer period is required by law. Terminal49 retains AI processing records, MCP logs, and other technical records only as long as reasonably necessary to operate, secure, and troubleshoot the Services.
8. Term and Renewal
8.1 Contract Term. Each Order Form begins on its Service Start Date and continues for the initial term stated on the Order Form.
8.2 Automatic renewal. Each Order Form automatically renews for successive renewal terms of the same length (each, a "Renewal Term") at Terminal49's then-current price at the time of renewal. To terminate an Order Form or change any of its terms before renewal, Customer must notify Terminal49 in writing at least thirty (30) days before the Renewal Term is to start.
8.3 Product changes. Terminal49 may deprecate existing products at any time with reasonable notice to Customer.
9. Termination
9.1 New customer cancellation. A new Customer may cancel an Order Form without penalty within the first sixty (60) days of service for a prorated refund of amounts actually paid by Customer to Terminal49. This right does not apply to Customers who have previously worked with Terminal49.
9.2 SLA breach. If Terminal49 fails to remedy any breach of the Service Level Agreement within ninety (90) days of the breach occurring, Customer may cancel the affected Order Form for a prorated refund of amounts actually paid by Customer to Terminal49.
9.3 Early termination by Customer. If Customer terminates an Order Form after the first sixty (60) days of service and before the end of the then-current term, fees for the remainder of the then-current term (the initial term or Renewal Term then in effect) become immediately due and payable, irrespective of service usage. This Section 9.3 does not apply to a valid cancellation under Section 9.2 (SLA breach). There is no termination for convenience.
9.4 Nonpayment. Terminal49 may withhold the Services if payments are past due, and may apply late fees and refer invoices to collections if more than thirty (30) days past due.
9.5 Effect of termination. On termination or expiration, all rights and licenses granted under the affected Order Form end immediately. Accrued payment obligations and any provision that by its nature should survive (including Sections 4, 7.6, 10, 11, 12, 13, and 15) survive.
10. Confidentiality
10.1 Confidential Information. Either party (the "Disclosing Party") may disclose to the other (the "Receiving Party") confidential or proprietary information about its business, products, services, marketing, or technology in connection with the Agreement ("Confidential Information"). Customer Data, Customer Documents, and Outputs are Customer's Confidential Information. Confidential Information does not include information that: (a) the Receiving Party already knew without an obligation of confidentiality; (b) the Receiving Party acquired from a third party that was not, to its knowledge, under a duty not to disclose it; (c) is or becomes publicly available through no fault of the Receiving Party; or (d) the Disclosing Party gave written permission to disclose, but only for that permitted disclosure.
10.2 Obligations. Except as required by law, the Receiving Party will (a) use the Disclosing Party's Confidential Information solely for purposes of the Agreement, and (b) not disclose it to any third party other than its employees, agents, and subprocessors who need to know it and are bound by obligations of nondisclosure and limited use at least as strict as these. The Receiving Party will protect the Disclosing Party's Confidential Information with at least the care it uses for its own information of like kind, and no less than reasonable care, and is responsible for any breach by its employees, agents, and subprocessors.
10.3 Compelled disclosure. If the Receiving Party receives a subpoena or other validly issued process demanding the Disclosing Party's Confidential Information, it will give the Disclosing Party prompt written notice, where legally permitted, so the Disclosing Party may seek protection.
10.4 Duration. For Confidential Information that does not constitute a trade secret under applicable law, these obligations expire three (3) years after termination or expiration of the Agreement. However, Terminal49's obligations for Customer Data, Customer Documents, and Outputs continue for as long as Terminal49 retains them.
11. Warranties and Disclaimer
11.1 Terminal49 warranties. Terminal49 represents and warrants that: (a) it is the lawful licensee or owner of the Services and has the rights necessary to grant the rights in the Agreement; (b) the Services do not knowingly infringe or misappropriate any U.S. patent, copyright, trade secret, trademark, or other proprietary right of a third party; and (c) it will perform support services in a competent, workmanlike, and professional manner.
11.2 Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THE AGREEMENT, TERMINAL49 DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR PERFORMANCE. THE SERVICES ARE PROVIDED "AS IS," AND TERMINAL49 DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. Terminal49's service commitments are set out exclusively in the Service Level Agreement.
12. Limitation of Liability
EXCEPT FOR A BREACH OF SECTION 10 (CONFIDENTIALITY), IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT OR THE SERVICES. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY AMOUNTS IN EXCESS OF THE FEES PAID OR PAYABLE BY CUSTOMER UNDER THE AGREEMENT DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS SECTION DOES NOT LIMIT CUSTOMER'S OBLIGATION TO PAY FEES. THE PARTIES AGREE THAT THIS SECTION REPRESENTS A REASONABLE ALLOCATION OF RISK.
13. Indemnification by Customer
Customer will defend, indemnify, and hold harmless Terminal49 (including its employees and agents) from and against all claims, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees) to the extent caused by (a) Customer's breach of the Agreement, (b) the negligence or intentional acts of Customer or its employees or agents in connection with the Services, or (c) the importation or exportation of merchandise or any conduct by Customer that violates applicable laws, regulations, or compliance requirements, except to the extent caused by the negligence or intentional acts of Terminal49.
14. Updates to These Customer Terms
14.1 Updates. Terminal49 may update these Customer Terms, including any Schedule, by posting the updated version at this URL and notifying Customer by email or in the Terminal49 application. Each version is dated, and prior versions are available on request.
14.2 Notice. If an update materially affects Customer's rights or obligations, Terminal49 will provide at least thirty (30) days' notice before it takes effect, unless the update is required to comply with applicable law, in which case Terminal49 will provide as much notice as reasonably possible.
14.3 Signed Order Forms. Except for updates required to comply with applicable law, an update does not apply to an Order Form signed before Terminal49 gave notice of the update until the start of that Order Form's next Renewal Term, provided the notice was given at least sixty (60) days before that Renewal Term starts; otherwise the update applies from the start of the following Renewal Term. Until then, the version in effect on the Order Form's most recent Service Start Date or renewal date continues to apply.
14.4 New features. Notwithstanding Section 14.3, terms for a Service or feature that Terminal49 launches after an Order Form is signed (including Agentic Features under Schedule C and MCP features under Schedule B) apply from Customer's first use or enablement of that Service or feature.
14.5 Disputes. Updates do not apply to disputes that arose before the update took effect.
15. Governing Law and Dispute Resolution
The Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to the Agreement will be resolved exclusively by binding arbitration under the rules of the American Arbitration Association, conducted in San Francisco, California. The arbitrator's decision is final, and judgment on the award may be entered in any court of competent jurisdiction. Before the arbitral panel is formed, either party may apply to a court of competent jurisdiction for injunctive relief. The prevailing party is entitled to its attorneys' fees and costs.
16. General
16.1 Entire agreement. The Agreement is the entire agreement between the parties about its subject matter and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Except as provided in Section 14, the Agreement may be modified only in a writing signed by both parties.
16.2 Assignment. Neither party may assign the Agreement without the other party's prior written consent, except that either party may assign it without consent to an affiliate or to a successor in connection with a merger, acquisition, or sale of all or substantially all of its relevant business or assets. Any other attempted assignment is void.
16.3 Relationship. The parties are independent contractors. The Agreement does not create a partnership, agency, or joint venture.
16.4 Publicity. Terminal49 may identify Customer as a customer in press releases or other public communications, subject to Customer's prior review and approval, which will not be unreasonably withheld or delayed.
16.5 Feedback. Feedback or ideas Customer provides about the Services are Terminal49's exclusive property, and Customer assigns to Terminal49 all rights in such feedback.
16.6 Force majeure. Except for payment obligations, neither party is liable for any failure or delay in performance caused by events beyond its reasonable control.
16.7 Notices. Notices must be in writing and sent to the contacts on the Order Form, or to legal notices at corp@terminal49.com. Notices to Customer may also be sent to its billing or signatory email address and are deemed given when sent.
16.8 Electronic communications. Customer consents to receive notices and communications electronically, and agrees they satisfy any requirement that communications be in writing.
16.9 Waiver; severability. A failure or delay in exercising any right is not a waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in effect.
16.10 No construction against drafter. Neither party will be deemed the drafter of the Agreement.
16.11 Counterparts. Order Forms may be executed in counterparts and by electronic signature, each of which is an original and all of which together are one instrument.
Schedule A — Terminal49 Credit Terms
This Schedule applies to Terminal49 Credits included in any plan or purchased under any Order Form. Sections A.3 and A.4 apply only to the Data-Only Plan. The commercial terms (credits included or purchased, consumption rates, and overage price, plus, for the Data-Only Plan, Face Value, Contracted Discount, Contracted Fee, Auto Top-Up amount, and the Terminal49 Credit Consumption Schedule) are stated on the Order Form.
A.1 Terminal49 Credits. "Terminal49 Credits" are prepaid usage units included in Customer's plan or purchased under the Order Form for consumption of Terminal49 data services and the other features that consume credits as listed on the Order Form. For the Data-Only Plan, "Face Value" is the reference value used to determine the number of Terminal49 Credits purchased and is distinct from the Contracted Fee when a discount applies.
A.2 Consumption. Terminal49 Credits are deducted at the consumption rates stated on the Order Form. Under the Data-Only Plan, Terminal49 will make its available data services accessible to Customer through the applicable data feed, and Terminal49 Credits are deducted in accordance with the Terminal49 Credit Consumption Schedule on the Order Form: Ocean Carrier and Vessel data consume Terminal49 Credits per tracked container, deducted in the Billing Term in which tracking is initiated; Enhanced Terminal data and Class I Rail Carrier data consume Terminal49 Credits only when such data is returned for a container, deducted in the Billing Term in which that data is first returned. Enhanced Terminal data and Class I Rail Carrier data are enabled by default unless Customer expressly opts out in writing or in the Terminal49 application. For all other purposes, Part 1, Section 5 (Billing Methodology) applies. Terminal49 Credits are consumed from the credits included or purchased for the current Billing Term (Customer's "base Terminal49 Credit pack") first, then from any top-up Terminal49 Credits (oldest first).
A.3 Automatic top-up (Data-Only Plan only). When Customer's remaining Terminal49 Credit balance falls to five percent (5%) or less of Customer's base Terminal49 Credit pack for the applicable Billing Term, a top-up will be purchased automatically on Customer's behalf in the Auto Top-Up amount specified on the Order Form, and the corresponding fee, reflecting the same percentage discount applicable to Customer's then-current Terminal49 Credit pack, will be charged to Customer's payment method on file in accordance with Part 1, Section 4. For purposes of this Section, Customer's remaining Terminal49 Credit balance means all Terminal49 Credits then available to Customer, whether from Customer's base Terminal49 Credit pack or from top-up Terminal49 Credits. A new automatic top-up will be initiated each time Customer's remaining Terminal49 Credit balance again falls to or below this threshold, including upon full consumption of a previously purchased top-up. Terminal49 Credits purchased by automatic top-up are top-up Terminal49 Credits for all purposes under this Schedule, including persistence through the then-current term.
A.4 Credit balance exhaustion (Data-Only Plan only). If Customer exhausts its available Terminal49 Credit balance before the end of the applicable Billing Term, Customer may purchase a top-up under the terms above. If Customer does not purchase additional Terminal49 Credits, Terminal49 may pause services until additional Terminal49 Credits are purchased or the next Billing Term begins. If Terminal49 does not pause services, any billable data delivered while Customer's Terminal49 Credit balance is exhausted will be billed in arrears at non-discounted rates (that is, at Face Value, without application of the Contracted Discount).
A.5 Unused Terminal49 Credits. Any unused Terminal49 Credits from Customer's base Terminal49 Credit pack are forfeited at the end of the applicable Billing Term and are not transferable to a subsequent Billing Term. Unused top-up Terminal49 Credits are not forfeited at the end of the Billing Term in which they are purchased; they remain available through the end of the then-current term and are forfeited at the end of that term or upon earlier termination.
A.6 Service Credits vs. Terminal49 Credits. "Service Credits" provided as an SLA remedy are separate from Terminal49 Credits. Service Credits are governed by the Service Level Agreement and do not increase Customer's Terminal49 Credit balance unless expressly stated in writing by Terminal49. For the Data-Only Plan, Service Credits are calculated as the applicable percentage of the Contracted Fee for the affected Billing Term and applied as a credit against Customer's next invoice.
A.7 Overage. Under the Data-Only Plan, Part 1, Section 6 (Overage Billing) does not apply. Under all other plans, Terminal49 Credits used in excess of the credits included for a Billing Term are billed as overage at the overage price on the Order Form, in accordance with Part 1, Section 6.
Schedule B — API and MCP Terms
This Schedule applies if Customer accesses the Services through the Terminal49 API or MCP server. For Order Forms signed under it, this Schedule replaces the Terminal49 API Platform Licensing Agreement.
B.1 API Platform. Terminal49 provides an application programming interface ("API") that enables Customer to access features of the Terminal49 platform, as described in the Documentation at https://terminal49.com/docs. Terminal49 will use commercially reasonable efforts to provide the API to Customer and Customer's users.
B.2 License. Subject to the Agreement, Terminal49 grants Customer a worldwide, non-exclusive, non-transferable, non-sublicensable license to access and use the API for the Contract Term, to integrate Terminal49 data into Customer's own systems and products, subject to Part 1, Section 3.2 (Restrictions).
B.3 Ownership. Terminal49 retains ownership of the API, the Terminal49 platform software, and Terminal49 data and licenses.
B.4 Credentials and usage limits. Customer is responsible for securing its API keys and MCP credentials and for all activity that occurs under them. Customer will comply with any rate limits and usage limits described in the Documentation or the Order Form, and will not circumvent them.
B.5 Support. Terminal49 will use commercially reasonable efforts to respond to Customer's support inquiries about the API at support@terminal49.com, in accordance with the support commitments of the applicable SLA tier.
B.6 MCP Access. "MCP Access" means access to the Services through Terminal49's Model Context Protocol server or similar agent-facing interface, including by AI assistants, agents, or other clients that Customer connects ("Customer Clients"). For MCP Access: (a) Customer is responsible for the selection, configuration, and conduct of Customer Clients, and for all requests made through its MCP credentials, as if made by Customer; (b) Customer Clients may only access data that Customer's account is authorized to access; (c) data returned through MCP Access is subject to the same restrictions as data accessed through the API, including Part 1, Section 3.2; (d) where Customer Clients are operated by third parties (for example, a third-party AI assistant), Customer's sharing of Terminal49 data with that third party is at Customer's direction and sole responsibility, and that third party's terms govern its handling of the data; and (e) Terminal49 may suspend MCP Access that it reasonably believes poses a security risk or materially degrades the Services, with notice to Customer where practicable.
Schedule C — AI Features and Agentic Features
This Schedule applies to Customer's use of AI Features. Section C.4 applies only if Customer enables Agentic Features.
C.1 AI Features and document processing. The Services include features that use artificial intelligence, including large language models operated by third-party subprocessors, to process shipping documents and related data uploaded by or on behalf of Customer ("Customer Documents"), including splitting, classifying, extracting data from, and linking documents and generating summaries and insights ("AI Features"). Customer Documents and the outputs generated from them by the AI Features ("Outputs") are Customer's Confidential Information. Terminal49 will not disclose Customer Documents or Outputs to any third party, except to subprocessors processing them on Terminal49's behalf under written confidentiality obligations, and will not sell them, make them available to any other customer, or use them for the benefit of any other customer. By uploading Customer Documents, Customer authorizes Terminal49 to process them through the AI Features, including via such subprocessors, and to use Customer Documents, Outputs, and related processing records to operate, monitor and improve the Services. Access to such processing records is restricted to authorized Terminal49 personnel on a need-to-know basis.
C.2 Customer responsibilities; AI output disclaimer. By uploading Customer Documents, Customer represents that it has all rights and permissions necessary to submit them for processing and remains responsible for their content. Outputs may contain errors or omissions, are not a substitute for human review, and do not constitute customs, legal, or compliance advice; Customer is responsible for verifying Outputs before relying on them, including in any filing or communication with carriers, customs authorities, or other third parties. Any disclosure of Customer Documents or Outputs by Customer to third parties is at Customer's direction and sole responsibility. Customer Documents and processing records are retained in accordance with Part 1, Section 7.6.
C.3 Scope. AI Features include features accessed through the dashboard, the API, and MCP Access, including the Terminal49 AI assistant.
C.4 Agentic Features. "Agentic Features" means AI Features that take actions on Customer's behalf, such as sending messages, updating records, or triggering workflows, rather than only providing information. Agentic Features are disabled by default and are available only if Customer enables them. By enabling an Agentic Feature, Customer: (a) authorizes Terminal49 to take the actions that the feature is configured to take on Customer's behalf; (b) is responsible for configuring the scope, permissions, and approval settings of each Agentic Feature and for reviewing its actions; and (c) acknowledges that actions taken by an Agentic Feature within its configured scope are Customer's actions as between Customer and Terminal49. Customer may disable an Agentic Feature at any time. Terminal49 will make reasonable efforts to keep a record of actions taken by Agentic Features, available to Customer on request.
